Oakley Capital Corporate Finance (“Oakley”) has advised HgCapital on their investment in Valueworks Ltd (“Valueworks”, “the Company”), the UK-based online marketplace provider. The transaction - the 40th completed by Oakley since launch in late 2007 - is the first investment by the HgCapital Mercury fund, which was raised recently to target lower mid-market buyouts in the TMT sector. The advisory role is a further demonstration of Oakley’s expertise in UK software transactions.
Founded in 2000, Valueworks provides its proprietary e-Marketplace platform to numerous landlords, contractors and merchants in the UK social housing and wider construction market. Valueworks offers a sophisticated technology platform which enables buyers and sellers to manage their supply chain activities in a highly efficient manner, delivering reduced costs and increased operational efficiency for all parties, while operating within the constraints of procurement legislation.
As part of the transaction, Valueworks’ founding shareholders will reinvest a considerable portion of their stake in the business. The transaction is expected to close on 31 October 2012. HgCapital will support the existing management team with a focus on growing the business as a key procurement hub in housing and related construction sectors.
The transaction is the 40th completed by Oakley since launch in late 2007, and its third software deal in 2012. The Oakley team was led by Chris Godsmark, joint Managing Partner and James Chapman-Andrews, Associate Director.
Chris Godsmark said, “we are delighted to have helped Hg’s Mercury team on their first acquisition for the new fund. Valueworks is the leading provider of eProcurement solutions to the social housing and construction sectors and is seeing rapid growth as customers expand their engagement with the online marketplace. The eProcurement software market remains highly fragmented in the UK, creating significant opportunity for growth investors.”
